Following the acquisition of Business & Decision's control block by Network Related Services (Orange group), the composition of the Board of Directors of Business & Decision has been renewed to take into account the new composition of its shareholding . Four new members of the Board of Directors have been appointed, including three Orange representatives: Thierry Bonhomme, Special Advisor to the Chairman and Chief Executive Officer of Orange and former Deputy Chief Executive Officer in charge of Orange Business Services, also appointed Chairman of Business & Decision, Beatrice Felder, Director of Orange Applications for Business, Jean-Michel Thibaud, Chief Financial Officer of Orange Business Services. Catherine Daneyrole has also been appointed as an independent director. These cooptations have been subject to ratification by the general meeting of shareholders of Business & Decision.
The Board of Directors has also decided to modify the organizational arrangements of the Company's management by separating the functions of Chairman of the Board of Directors and Chief Executive Officer. The Board of Directors has appointed Beatrice Felder as Chief Executive Officer and Valérie Lafdal as Deputy Chief Executive Officer in charge of Business & Decision's France activities.

The Board of Directors is set up and organized to represent the shareholders and act in the company's best interests. It defines the company strategy as well as its execution, and monitors the quality of all financial information communicated to the market. Communication principles and rules are implemented according to those recommended by the AMF (Autorité des marches financiers). The Board of Directors convenes and sets the agenda for the meeting of shareholders, to whom it submits the accounts for approval and a management report for review. The Board of Directors ensures that practices, in terms of governance, are implemented, namely in line with transparency rules governing directors’ and board members’ remuneration and risk assessment and management.
